1. Agreement to Terms

Welcome to Paisa Advisor! These Terms of Service ("Terms") govern your access to and use of our platform, including our website, mobile applications, and related services (collectively, the "Service").

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Paisa Advisor ("we," "us," or "our").

2. What is Paisa Advisor?

2.1 Our Service

Paisa Advisor is a personal finance tracking and analytics platform that helps you:

• Track Expenses: Monitor your daily spending and categorize expenses
• Track Investments: View your mutual fund and stock portfolio holdings and performance
• Analyze Data: Generate charts, reports, and visualizations of your financial data
• Get Insights: Receive informational observations about your financial patterns (Phase 4)
• Manage Family Finances: Track finances for multiple family members (Phase 3)

2.2 What We Do

We display your data to you in a organized, visual format. That's it. You manually enter or import your data, and we help you track and analyze it.

2.3 What We DON'T Do

• We do NOT execute financial transactions on your behalf
• We do NOT provide personalized investment advice
• We do NOT recommend which stocks, funds, or investments to buy or sell
• We do NOT manage your money or hold your assets
• We do NOT connect to your bank account to pull transaction data
• We do NOT process payments or store payment card details

3. User Eligibility

3.1 Age Requirement

You must be at least 18 years old to use Paisa Advisor. By using our Service, you represent and warrant that you are 18 years or older.

3.2 Geographic Restrictions

Our Service is primarily designed for users in India. We may not be available in all countries or regions.

3.3 Legal Capacity

You must have the legal capacity to enter into this binding agreement under applicable law.

4. User Accounts

4.1 Account Creation

To use Paisa Advisor, you must create an account by providing:

• Accurate and complete information (name, email, phone)
• A strong password
• Any other required information

4.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Using a strong, unique password

4.3 Account Accuracy

You agree to provide accurate, current, and complete information and to update it as necessary to maintain its accuracy.

4.4 One Account Per User

You may only create one account per email address. Multiple accounts by the same person are prohibited.

4.5 Account Termination

You may delete your account at any time through Settings or by contacting grievance@paisaadvisor.com. Your data will be deleted within 7 days as per our Privacy Policy.

5. User Obligations & Prohibited Conduct

5.1 Acceptable Use

You agree to use Paisa Advisor only for lawful purposes and in accordance with these Terms.

5.2 Prohibited Activities

You agree NOT to:

• Provide false, inaccurate, or misleading information
• Impersonate any person or entity
• Use automated systems (bots, scrapers) to access the Service
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse engineer, decompile, or disassemble any part of the Service
• Introduce viruses, malware, or other harmful code
• Harass, abuse, or harm other users
• Violate any applicable laws or regulations
• Use the Service for commercial purposes without our written consent
• Resell or redistribute the Service or your access to it
• Remove or modify any copyright, trademark, or proprietary notices

5.3 Data Accuracy Responsibility

You are solely responsible for the accuracy of the data you enter into Paisa Advisor. We display the data you provide - garbage in, garbage out.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service, including its design, features, graphics, code, and content (excluding your user data), is owned by Paisa Advisor and protected by copyright, trademark, and other intellectual property laws.

6.2 Limited License to You

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms.

6.3 Your Data Ownership

You own your data. You retain all ownership rights to the financial data, expense entries, and other content you input into Paisa Advisor.

6.4 License to Use Your Data

By using our Service, you grant us a limited license to:

• Store, process, and display your data to provide the Service to you
• Create backups of your data for security purposes
• Use aggregated, anonymized data for analytics and service improvement
• Generate AI insights from your data (Phase 4) only for your personal use

We do NOT sell, trade, or publicly share your personal financial data.

6.5 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them without compensation or obligation to you.

7. NOT INVESTMENT ADVICE - CRITICAL DISCLAIMERS

7.5 Consult Qualified Professionals

Always consult a SEBI-registered investment advisor or qualified financial planner before making investment decisions.

7.6 No SEBI Registration

Paisa Advisor is NOT registered with the Securities and Exchange Board of India (SEBI) as an investment advisor, broker, or in any other capacity.

8. Investment Risks & Disclaimers

8.1 Data Accuracy Disclaimer

We strive for accuracy but cannot guarantee it.

• Market data (NAVs, stock prices) is sourced from third-party data providers
• Data may be delayed, incomplete, or inaccurate
• Returns calculations are based on data you provide and may contain errors
• Always verify critical information with official sources (fund houses, stock exchanges)

8.2 No Liability for Investment Losses

We are NOT liable for any investment losses, missed opportunities, or financial damages resulting from:

• Use or reliance on information displayed in Paisa Advisor
• Errors or inaccuracies in data
• Service outages or unavailability
• Your interpretation of AI insights or analytics

9. Service Availability & Modifications

9.1 "AS IS" and "AS AVAILABLE"

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied.

9.2 Service Interruptions

We do not guarantee:

• Uninterrupted or error-free service
• 100% uptime or availability
• That defects will be corrected
• Freedom from viruses or harmful components

9.3 Maintenance & Downtime

We may temporarily suspend the Service for:

• Scheduled maintenance
• Emergency repairs
• Technical issues
• Security incidents

We will provide advance notice when possible, but are not required to do so.

9.4 Right to Modify or Discontinue

We reserve the right to:

• Modify, suspend, or discontinue any feature or the entire Service
• Change pricing or introduce fees (with 30 days notice for existing users)
• Impose usage limits or restrictions

10. Third-Party Services & Content

10.1 Third-Party Data Sources

We integrate with third-party services for:

• Mutual fund NAVs (AMFI, fund house data services)
• Stock market data (BSE, NSE, or licensed providers)
• Currency exchange rates

10.2 No Control Over Third Parties

We are not responsible for:

• Accuracy, reliability, or availability of third-party data
• Third-party service outages or errors
• Third-party terms of service or privacy policies

10.3 External Links

The Service may contain links to third-party websites or apps. We do not endorse or control these sites and are not responsible for their content or practices.

11. Payment Terms (Free & Premium)

11.1 Current Free Access

Paisa Advisor is currently FREE for all users during our beta/early access phase.

11.2 Future Pricing

We may introduce paid subscriptions or premium features in the future:

• We will provide at least 30 days advance notice before charging existing users
• A generous free tier will always remain available
• You can choose to continue with the free tier or upgrade to premium
• You may cancel your account before pricing takes effect

11.3 Premium Features (When Available)

Premium subscriptions may include:

• Unlimited family members
• Advanced AI insights
• Priority customer support
• Custom reports and exports

11.4 Billing & Refunds

When we introduce paid plans:

• Subscriptions will be billed monthly or annually
• Auto-renewal unless you cancel
• Refund policy will be specified at time of purchase
• You can cancel anytime to stop future charges

11.5 No Payment Processing

We use third-party payment processors (Razorpay, Stripe, etc.). We do NOT store your payment card details.

12. Limitation of Liability

12.3 Exceptions

The above limitations do not apply to:

• Liability that cannot be excluded by law
• Fraud or willful misconduct by Paisa Advisor
• Death or personal injury caused by our negligence

13. Indemnification

You agree to indemnify, defend, and hold harmless Paisa Advisor and its affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your violation of these Terms
• Your violation of any law or regulation
• Your violation of any third-party rights
• Your misuse of the Service
• Any content you submit or upload
• Investment decisions you make

14. Termination

14.1 Termination by You

You may terminate your account at any time by:

• Going to Settings → Account → Delete Account
• Emailing grievance@paisaadvisor.com

Your data will be deleted within 7 days as per our Privacy Policy.

14.2 Termination by Us

We may suspend or terminate your account if:

• You violate these Terms
• You engage in fraudulent or illegal activities
• You abuse the Service or other users
• Your account is inactive for more than 2 years
• Required by law or government order

14.3 Effect of Termination

Upon termination:

• Your access to the Service will immediately cease
• Your data will be deleted per our Privacy Policy
• Sections of these Terms that should survive (liability, indemnification, governing law) will continue to apply
• No refunds for any unused subscription period (when applicable)

15. Dispute Resolution & Governing Law

15.1 Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

15.2 Jurisdiction

Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of courts in Kolkata, India.

Note: This jurisdiction is subject to change based on company registration location.

15.3 Informal Resolution First

Before filing any legal action, you agree to first contact us at grievance@paisaadvisor.com to attempt to resolve the dispute informally.

15.4 Arbitration (Optional)

For disputes exceeding ₹5 lakhs, either party may elect binding arbitration under the Arbitration and Conciliation Act, 1996:

• Single arbitrator mutually agreed upon
• Arbitration in English language
• Seat of arbitration: Kolkata, India
• Each party bears its own costs unless arbitrator decides otherwise

16. Changes to Terms

16.1 Right to Modify

We reserve the right to modify these Terms at any time.

16.2 Notice of Changes

We will notify you of material changes via:

• Email to your registered email address
• In-app notification
• Prominent notice on our website

16.3 Effective Date of Changes

Changes will take effect:

• 30 days after notification for material changes
• Immediately upon posting for minor changes

16.4 Continued Use = Acceptance

Your continued use of the Service after changes take effect means you accept the updated Terms.

16.5 Right to Object

If you disagree with the changes, you may delete your account before the effective date.

17. General Provisions

17.1 Entire Agreement

These Terms, along with our Privacy Policy and Security Page, constitute the entire agreement between you and Paisa Advisor.

17.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

17.3 Waiver

Our failure to enforce any provision does not waive our right to enforce it later.

17.4 Assignment

You may not assign or transfer your rights under these Terms. We may assign our rights to any affiliate or successor.

17.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, wars, pandemics, government actions, etc.).

17.6 Export Controls

You agree to comply with all applicable export and import laws when using the Service.

17.7 Language

These Terms are written in English. Any translations are for convenience only; the English version controls in case of conflicts.
